Aircraft Acquisitions and Dispositions

Our core services include drafting and negotiating purchase and sale documentation for a whole aircraft, and negotiating fractional aircraft program governing documents. GKG Law’s Business Aviation Group has handled thousands of such transactions, while ensuring all the while that our clients are educated on every option available in today’s constantly evolving marketplace. Our capabilities and services set the standard, and the breadth of our knowledge and experience outpaces the market.

We facilitate the deal, break impasses and work cooperatively with brokers/dealers and other interested parties. We have solid, established relationships with a large segment of the U.S. market brokers and dealers, lenders, management and charter companies, and others who may be involved in your transaction. These relationships pave the way for cooperative negotiations and a tremendous level of trust between all parties involved. The advantages are evident in every deal we conduct.

Our clients benefit from our ability to make introductions and referrals to them for the entire "team" of trusted advisors and service providers that they will need to commence and conclude their aircraft purchase transaction and operation. We regularly assist our clients in selecting aircraft brokers, acquisition experts, lenders, management/charter companies, owner trustees, and insurance agents. We also negotiate bank term sheets and loan documents, management/charter company agreements, FAA owner trust documents, and broker representation agreements. Additionally, we personally facilitate registry of every transaction with the International Registry of Mobile Assets and guide clients in obtaining and/or renewing their Transacting User Entity (TUE) status, which typically expires after one year.

GKG Law’s attorneys are involved members of the most prominent aviation industry organizations, including NBAA, NAFA, IADA, HAI and many others. We take leading roles in these organizations and get to know their members in both educational and social settings. This involvement has allowed us to develop deep relationships with the executive leadership of the best companies in the business aviation industry.

An additional differentiation is our experience with industry acquisitions and start-ups. Further, with strong skill sets in tax and commercial law issues, we are uniquely qualified to structure and document purchase and sale transactions.

We have provided counsel to management companies and charter operators of every size. We are adept at negotiating term sheets, conducting due diligence, and preparing and concluding negotiations on purchase and sale and all ancillary documentation. We provide business advice AND legal services.
