Board Policies and Procedures

An association’s Bylaws normally create a basic structure for how a Board should operate. Bylaws should never be cluttered with detailed rules or policies. Instead, the Board should create separate policies and procedures that carry out the intent of the Bylaws provisions. GKG Law’s Association Practice Group works with associations to draft Board policies, including but not limited to, policies regarding director and officer nominations, Board eligibility requirements, officer elections, travel and reimbursement, meeting attendance, removal of directors, and committee requirements. Additionally, we review association clients’ policies and procedures to ensure that they are consistent with our client’s Bylaws, State and Federal law, and best practices.
